Welcome to the VistaCare, Inc. Securities Litigation Settlement Home Page.

If you purchased or otherwise acquired VistaCare, Inc. (“VistaCare”) common stock between April 28, 2003 and August 5, 2004, inclusive, and were damaged thereby, then you could get a payment from a class action settlement.

VistaCare is a provider of hospice services. VistaCare receives most of its revenue from Medicare. The Complaint filed in the Action generally alleges, among other things, that Defendants knowingly or recklessly failed to properly reserve for accrued reimbursement obligations owed to Medicare for violations of the per-patient Medicare Cap limitations, resulting in overstated “net revenues” and overall earnings, and understated liabilities on its balance sheet. At the same time VistaCare’s chief executive officer sold personally held shares of VistaCare stock at inflated prices while in possession of material, non-public information.

The Complaint further alleges that Lead Plaintiffs and other Class Members purchased the common stock of VistaCare during the Class Period at prices artificially inflated as a result of the Defendants’ dissemination of materially false and misleading statements regarding VistaCare, and suffered losses when the truth about VistaCare’s financial performance and Medicare cap problems were revealed, all in violation of Sections 10(b) and 20(a) of the Securities Exchange Act of 1934, and Rule 10b-5 promulgated thereunder.

The lawsuit seeks money damages against the Defendants for violations of the federal securities laws. The Defendants deny all allegations of misconduct contained in the Complaint, and deny having engaged in any wrongdoing whatsoever.
